EULA - End User License Agreement

IMPORTANT
ATTENTION: PLEASE READ CAREFULLY THIS DOCUMENT BEFORE USING THE SOFTWARE. SELECTING "I ACCEPT THE CONDITIONS" AND/OR USING THIS SOFTWARE, YOU ACCEPT TO BE BOUND TO THE TERMS OF THIS USER LICENCE. IF YOU DO NOT WANT TO STAY WITHIN THE BOUNDS OF THESE TERMS, DO NOT USE THIS SOFTWARE.

GENERAL CONDITIONS REGULATING THE USER LICENCE OF THE PROGRAMME

The software programme Ready Pro is protected by copyright and trademark laws.
The programme Ready Pro and all its documentation is owned by Codice SRL - Strada Alvania, 57 - 47891 Dogana - Republic of San Marino.

DEFINITIONS
The term "Producer" indicates the natural person and the Company owning the copyrights (Codice Srl).
The term "User" indicates the Customer or the final user of the software.
The term "Ready Pro" indicates the software product Ready Pro with one or more forms (including e-commerce), its personalization, additional components or updates.

USER LICENCE AGREEMENT
The present User Licence Agreement is a contract between the User (a natural or a legal person) and the Producer for the software Ready Pro and its forms, and it includes all the PC versions downloaded from the internet or any storage mediums and any electronic or printed documents. The User accepts to be bound to the conditions of the present Agreement by installing, copying, downloading, displaying or otherwise using Ready Pro. Ready Pro is protected by the laws and international agreements on copyright, and by any other law or agreement on intellectual property.

The software's property is not transferred to the User. The Producer grants a non-exclusive user licence of the software to the User for only one (1) workstation (you are supposed to acquire a separate client licence for each separate station on which the software is used). The software can not be used on several workstations without proper client licences. You shall subscribe a separate user licence of the software for each workstation.

The present Licence Agreement grants the following rights to the User:
he may install, use, gain access to, display and execute a copy of Ready Pro on only one PC, workstation, terminal, or other digital electronic device for which it was planned.
The User may also install or store a copy of Ready Pro on a storage device, such as a network server, used only to execute Ready Pro on other PCs of an internal network. However, the User has to acquire a licence for each single PC on which Ready Pro is executed by the storage device. The same licence shall not be shared or used at the same time on different computers.
All rights not expressly granted in the present Agreement are specifically reserved to the Producer.

Demonstrative Software (Demos):
In spite of what has been established on other articles of the present Agreement, a Demo version of Ready Pro can be installed only to demonstrate, try or evaluate it and the User will not be authorized to resell or otherwise transfer the software for a valuable consideration. Once he has evaluated the product, the User shall ask the Producer for the user licence for one or more forms depending on his needs.

DURATION OF THE USER LICENCE AND UPDATES
The User licence is granted for an unlimited period of time. A bought licence entitles the owner to receive the following for one year: free updates of the programme (12 months from the activation date of the licence), possibility to buy more client workstations, possibility to add extra forms; possibility to ask for technical assistance (free on the forum or against payment on teleassistance).

After the first year of use (12 months from the activation date of the licence), the User may buy, but he is not obliged to, an updating package to get the following for another year: free updates of the programme (12 months from the date of renewal), possibility to buy more client workstations, possibility to add extra forms; possibility to ask for technical assistance (free on the forum or against payment on teleassistance).
The licence renewal can be bought every 12 months from the date of first purchase.

After 12 months from the activation, the User who does not want to buy the updating package renounces to any form of assistance and to all the rights detailed above and offered with the licence renewal package. The Producer shall not be informed about the User's intention of not buying the renewal package.

Should the User decide to renew his licence after 1 (one) month from its expiring date (13 months from the first purchase or one of the following renewals), he has to pay again the entire amount paid for the first activation.
After such expiration, the User, although he has not bought any update, can keep on using the programme but he will have to renounce to any form of assistance and to all the advantages offered with the licence renewal package
The renewal costs will be those issued on www.readypro.it at the renewal date.
The Producer, though not granting total compatibility with the previous versions, will try to keep it.
In particular, before starting the updating procedure, the User shall do a backup copy of his files. Should such copy not be done, in no case the Producer shall be liable for any loss of data occurring during the programme update.

NON AUTHORISED USE
The User is not authorised to change, even partially, the pages, the graphic items and/or the marks generated with the e-commerce and the web window forms.
Any alteration, even partial, of any item of the web site published by way of e-commerce or web window forms (pages and graphics) shall be considered as a violation of the rules which regulate this contract and the copyright. The contents of the web site published by way of Ready Pro software shall be managed or modified only through Ready Pro software.

Without the previous authorization of the Producer, it is forbidden to:
- decompile or disassemble the programme;
- give, lend, locate, lease the programme without the authorization of the Producer.
The activation serial numbers provided to the User are personal and registered on the basis of the company name of the User. This system allows the Producer to go back, at any time, to the exact owner of the licence.

The User is asked to:
- keep and protect the serials received at the moment of the purchase from unauthorized diffusion;
- immediately communicate any unauthorized diffusion of his activation serials to the Producer.
In case of unauthorized diffusion of the activation serials, the Producer may block the use of the software linked to those specific serials and, after appropriate verifications, take legal steps against the User who delivered or fraudulently used the activation serials.

LICENCE TRANSFER
The programme can not be transferred to a third person. The User can not lease, hire, rent, lent or loan the software product.

AFTER-SALES SERVICE AND SUPPORT
The Producer grants support only through its open forum reachable through the site http://support.codice.it
Any other paying or free form of support will have to be established by a special agreement between the Producer and the User.
As for technical information received from the User within the after-sales service, the Producer might use it for his activity, including for his technical support and for the development of the product.

COPYRIGHT
All rights and copyrights concerning Ready Pro, electronic documents, possible printed material enclosed and each copy of the Software Product are owned by the Producer. The title and the rights on the intellectual property, concerning the contents to which the User gains access to through the use of Ready Pro, are owned by the respective owners and may be protected by copyright or by other laws and agreements on intellectual property.
The present Agreement does not grant any right to use those contents.

LIABILITY RESTRICTIONS
The software is provided "AS IS", without warranty of any kind.
The Producer, his retailers and/or distributors do not recognize any, expressed or implicit, warranty of suitability of the software for a peculiar purpose. ANY LIABILITY OR DAMAGES REPAYMENT, FOR THE LOSS OF THE INFORMATION HANDLED BY THE SOFTWARE AND/OR PROCESSING AND/OR CALCULATIONS MADE IRREGULARLY, ARE EXLUDED.
THE PRODUCER, HIS RETAILERS OR DISTRIBUTORS ARE NOT TO BE CONSIDERED RESPONSIBLE FOR THE LOSS OF PROFIT OR OF ANY OTHER SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE CONSEQUENCE, OR OF OTHER DAMAGES CAUSED BY THE USE OF THE PRODUCT.

PERSONALIZATIONS
The agreement is valid also for the software's personalization and for other packages of the Producer installed after the purchase of the initial licence of the software.

CANCELLATION
The Producer may cancel the present Agreement, without compromising his other rights, if the User does not hold on the terms and conditions of the present Agreement, or when he does not pay for the licence.
In such case, the User is asked to destroy each copy of the Software Product and all its parts.

USE AND TREATMENT OF PERSONAL DATA
Personal data given by the Costumer to Codice Srl is protected by the Privacy Act, which contains the guidelines for the protection of people and of other subjects as for the treatment of personal data.
Specifically, the Costumer authorizes Codice Srl to:
- collect and process data to perform the present Agreement;
- process personal data, to define the commercial profile of his Costumers;
- use the outlines elaborated for its marketing and promotional purposes.

APPLICABLE LAW AND JURISDICTION
Should one of the rules of this agreement be inapplicable, all the rest shall still be applicable.
This agreement is subject to the laws of the Republic of San Marino. Any dispute between the Producer and the User, having to do with the present agreement, will be settled by the court of the Republic of San Marino.
